​Our Renewable Energy client is looking to hire a Vice President of Legal. The position will be responsible for providing all relevant legal support on various Corporate matters and support Project Development and Financing on multiple project and transactions. This role will manager a Paralegal in addition to managing engagement of external counsels.

Responsibilities include (but not limited to):

• Advise on various contractual matters and underlying risks and liabilities

• Review and draft LOI’s, MSA’s, NDA’s, and subcontractor agreements

• M&A support related to Utility Scale Solar & BESS projects

• Review and Negotiate Offtake/PPA's and assist in responding to RFPs issued by various utilities (experience is preferred but not essential).

• Support negotiations and documentation of Construction Loans and Tax Equity with the help of internal management team and external law firms.

• Review and support negotiations of construction agreements including EPC Contracts

• Actively participate and advise on corporate governance matters

• Assist in general corporate legal work, including Board and shareholder meetings and management of outside legal counsel and paralegals.

• Work with external legal advisors where necessary to supplement subject matter expertise.

Base Salary up to $300k plus 50% bonus.
